1. Agreement to the Terms

You are required to use the Service in accordance with these Terms. You may not access the Service without a valid and irrevocable acceptance of these Terms.

If you are using the Service on behalf of a business, that business must also accept these Terms prior to your use.

By using the Service, you affirm that you have provided a valid and irrevocable acceptance of these Terms.

Should there be any specific terms applicable to the Service, you are required to comply with those Individual Terms in addition to these general Terms of Use.

2. Amendment of the Terms

The Company reserves the right to amend the Terms of Use, in whole or in part, as deemed necessary. Upon such amendments, the Company will inform Users of the revised Terms and their effective date by displaying them on the Service or through another suitable method. If the amendment involves changes requiring User consent under applicable laws, consent from the User will be obtained as determined by the Company.

Continued use of the Service after amendments indicates the User's acceptance of the updated Terms of Use.

3. Account

The Service includes certain features available exclusively to users with registered accounts. Individuals wishing to access these services ("Potential Registrants") must apply for account registration by providing specific information as outlined by the Company (the "Registration Information").

Potential Registrants must submit true, accurate, and complete Registration Information during the application process. The Company will assess each application based on its criteria and will notify the applicant if registration is approved.

The Company reserves the right to refuse or cancel registration without liability for any resulting damages. Additionally, the Company is not obligated to disclose the reasons for any refusal.

Users may delete their accounts and withdraw from the Service at any time. Upon account deletion, all rights to use the Services will terminate. Please note that accounts cannot be recovered, even if deleted by mistake.

The account is exclusively owned by the User, and the rights to use the Services cannot be transferred, loaned, or inherited by any third party.

The User must promptly notify the Company of any changes to their Registration Information using the specified method.

Users are responsible for managing their account's user IDs and passwords (collectively referred to as "Login Information"). Any actions taken using this Login Information will be attributed to the User, who are liable for any damages resulting from poor management or unauthorized use.

If there is any suspicion that Login Information has been compromised, the User must report this to the Company and comply with its instructions. The account is exclusively owned by the Registered User, and rights associated with the Service cannot be transferred, leased, or inherited by any third party.

4. Provision of Services

The User must provide their own personal computers, mobile devices, communication equipment, and operating systems at their own expense and responsibility to use the Service.

The Company may impose conditions such as age and identity verification for accessing the Service. The Company reserves the right to modify or discontinue the Service with prior notice, or after the fact in unavoidable situations.

If deemed necessary, the Company may change the contents of the Service in whole or in part at any time without prior notice to the User.

The Company may terminate provision of the Service at the Company's discretion upon prior notice to the User.

The Company shall not be liable for any damages or disadvantages to Users arising from the Company's actions herein.

5. Points

The Company may issue points (T-Point) to pay for Usage Fees within the Service, categorized as follows:

• Free Points: Granted for actions like rating content, posting reviews or more. Which to be provided upon the Company decision.
• Paid Points: Purchased by Users for a fee.
• 1 Japanese Yen = 1 Point
• You can choose the amount of points to purchase per order as follows:

Users cannot transfer points to third parties.

Points expire after one year of inactivity or upon account deletion.

The Company does not exchange points for cash or items, except as legally required or in the event of Service termination.

Points purchase limits are as follows:

• Under 18 years old: Up to 15,000 yen per month
• Age 18 and over: There is no purchase limit.

6. Contents

Grant of License

The Company hereby grants you a limited, non-exclusive, non-transferable license to access and use the Content provided through the Service in accordance with these Terms of Service. You may not assign, sublicense, or otherwise transfer any rights granted hereunder to any third party.

Content Usage Terms

• Your use of the Content is subject to additional terms and conditions, including but not limited to usage fees and time limitations as specified in the applicable Content-specific terms.
• Notwithstanding any references to "purchase" or "sale" within the Service interface, such terminology does not convey ownership rights in the Content.
• The license granted herein shall remain valid until the termination or discontinuation of the Service.

Prohibited Activities

• Unauthorized Usage: Users shall not use, copy, transmit, reproduce, modify, or otherwise manipulate the Content in any manner not expressly authorized by the Service. This includes any commercial or non-commercial use, modification, or redistribution not expressly allowed by the Service.
• Reproduction and Distribution: Users may not copy, distribute, or transmit Content in any format outside of the Service.
• AI Training Prohibition: Users are strictly forbidden from using Content for data training, AI model development, generative applications, or similar purposes.

User Rights Retention

• You retain all ownership rights in your Submitted Content.
• By submitting Content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, display, modify, and distribute your Submitted Content for the purpose of operating and improving the Service.
• This license includes the right to:

- ○ Make necessary modifications or omissions as deemed appropriate by the Company
- ○ Sublicense these rights to Company affiliates

Content Review

• The Company reserves the right to review Submitted Content for compliance with these Terms and applicable laws.
• The Company is not obligated to conduct such reviews.

Content Removal

The Company may, without prior notice:

• Remove any Submitted Content that violates or potentially violates these Terms or applicable laws
• Remove Content for business necessity
• Limit or restrict Service access in response to violations

Limitation of Liability

The Company shall not be liable for any loss or damage:

• Related to the Content provided to Users
• Arising from the removal of Submitted Content
• Resulting from Service access restrictions

7. Prohibitions

The User shall not engage in any of the following activities while using the Service. Any violation of these prohibitions may result in immediate termination of access to the Service and/or legal action, as applicable:

General Prohibitions

• Violates any of the Terms
• Engaging in any activity that violates applicable laws, regulations, or ordinances
• Providing false or misleading information during registration or use of the Service
• Impersonating another person or entity
• Using the Service for any unauthorized commercial purposes
• Commit any act that may be disruptive to public order or good morals.

Technical Restrictions

• Attempt to circumvent or disable any security features of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use any automated systems, bots, scripts, or spiders to access the Service
• Interfere with or disrupt the Service or servers connected to the Service

Content-Related Prohibitions

• Submit, transmit, or share any content that infringes upon intellectual property rights
• Collect or store personal information about other users without their express consent
• Posting or transmitting excessively violent language, explicit sexual language, language that leads to discrimination on grounds such as race, nationality, creed, sex, social status, family origin, etc., language that induces or encourages suicide, acts of self-injury, or drug abuse, or other anti-social content that offends others this include that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Any act of impersonating our company or a third party or intentionally spreading false information.

Service Usage

• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems through the Service
• Create multiple accounts for abusive or fraudulent purposes
• Resell, lease, or charge for access to the Service
• Providing benefits to anti-social forces or other acts of cooperation with them.

User Conduct Restrictions

• Engagement in any form of harassment, intimidation, or threatening behavior directed at other Users;
• Manipulation or interference with the Service's review, rating, or ranking systems;
• Creation or maintenance of multiple User accounts for the purpose of circumventing Service restrictions or manipulating platform metrics;
• Unauthorized impersonation of other Users or third parties;
• Solicitation or collection of personal information from other Users without explicit consent.

Commercial Activity Restrictions

• Transferring, selling, or otherwise commercializing User accounts;
• Utilizing the Service for unauthorized commercial solicitation or advertising purposes;
• Conducting promotional activities or competitions without prior written authorization from the Company;
• Monetizing third-party content without documented permission from rights holders;
• Implementing affiliate marketing programs without appropriate disclosures as required by applicable law.

Any other conduct that the Company deems inappropriate.

Company Rights

The Company reserves the right to:

• Monitor, review, and moderate all content transmitted through the Service;
• Remove any content deemed in violation of these Terms without prior notification;
• Suspend or terminate User accounts for violations of these Terms;
• Cooperate with law enforcement authorities as required by applicable law;
• Modify these prohibitions at its sole discretion upon notice to Users;
• Take any action deemed necessary to address violations not explicitly enumerated herein.

8. Customer Responsibilities

You shall use the Service at your own risk and bear full responsibility for all activities conducted and any resulting consequences.

If the Company determines that your use of the Service violates these Terms, it may take any actions it considers necessary and appropriate, without obligation to prevent or correct such violations.

If your use of the Service causes the Company any loss, including legal fees or third-party claims, you must immediately compensate the Company in full as requested.

9. Disclaimer of Warranties

The Company provides no explicit or implied warranties regarding the Service or its Content. Specifically, it does not guarantee the absence of defects (e.g., security issues, errors, or rights violations), suitability for particular User purposes, expected functionality, commercial value, accuracy, or usefulness. Additionally, the Service may not meet all legal or industry standards, nor can the Company guarantee its ongoing availability.

The Company is not liable for any damages resulting from User use of the Service, except in cases of the Company's willful misconduct or gross negligence. However, if the Service contract qualifies as a "Consumer Contract" under the Consumer Contract Act, the Company's liability for damages, excluding lost profits or exceptional circumstances, will be limited to regular, foreseeable damages. For paid services, any liability will be capped at the monthly usage fees collected from the User during the month of damage occurrence.

If the Company's gross negligence results in damages to the User, the Company's liability is limited to typical, foreseeable damages and does not cover lost profits or exceptional circumstances. For paid services, this liability is capped at the monthly fees collected from the User in the month the damage occurred. This limitation does not apply if the agreement between the User and the Company qualifies as a consumer contract under the Consumer Contract Act.

All transactions, communications, or disputes between the User and any third party connected to the Service are solely the responsibility of the User, who must resolve these matters independently. The Company bears no liability for any issues arising from such interactions.

The Company does not guarantee that serialized content provided through the Service will be completed. Accordingly, the Company is not liable for refunds, compensation, or any damages resulting from incomplete content.
